I've spent most of my career on the client side.

I'm Benjamin Farias, a Texas attorney with more than 13 years of experience working with businesses ranging from startups to global companies.

I've served as General Counsel, Deputy Head of Legal, and senior in-house counsel, often in lean legal functions where being the lawyer meant handling whatever the business needed that day.

That has included negotiating enterprise agreements, advising executives and boards, working through employment issues, supporting financings and M&A, managing intellectual property, helping launch products, building legal processes, and overseeing outside counsel.

It has also meant being the person Sales calls when a deal is stuck, HR calls when something gets complicated, or the CEO calls because a problem needs an answer now.

That's the experience I bring to TX Fractional Counsel.

I approach legal like an operator.

I don't think the job of an in-house lawyer is to eliminate risk. Businesses take risk every day. The job is to understand which risks matter, explain them clearly, and help the company make a good decision.

Sometimes the answer is no. More often, there's a reasonable way to get where the business wants to go.

My goal is to give clients clear advice they can actually use, without turning every question into a research project or every contract into a three-week negotiation.

Experience built inside growing companies.

I've worked across SaaS, enterprise software, AI, fintech, industrial technology, and other complex and regulated businesses.

As General Counsel, I've advised executive leadership and boards while remaining responsible for the day-to-day legal work of the company. As Deputy Head of Legal for a global enterprise software business, I worked across U.S. and European operations on commercial, product, privacy, regulatory, and corporate matters.

Earlier in my career, I helped build the legal function at an AI-driven technology company as it grew from an early-stage business into an international organization, and I played a significant legal role in the acquisition of Softomotive by Microsoft.

I've also worked inside a global public company and began my career in private practice.

That range matters. I've seen legal from both sides of the relationship, and I know the difference between a matter that needs specialized outside counsel and one that just needs an experienced lawyer to make a decision and keep things moving.

Why TX Fractional Counsel

Not every company needs a full-time General Counsel.

But once a business reaches a certain point, handling legal issues ad hoc becomes expensive, inefficient, and distracting. Sending everything to an outside firm isn't a particularly good solution either.

I started TX Fractional Counsel to fill that gap.

The idea is simple: give companies access to the kind of legal support they'd expect from an experienced member of their own team, at a level that makes sense for the business.
